1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Pairenthesis Inc. ("Pairenthesis," "we," "our," or "us") governing your access to and use of the Pairenthesis platform and services (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Pairenthesis provides a data cleaning, analysis, and visualization platform that uses artificial intelligence to help users process spreadsheets and structured data. The Service includes:

• Automated data cleaning and standardization
• Anomaly and outlier detection
• Natural language data querying
• Data visualization and charting
• Integration with third-party data sources
• Team collaboration features

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Promptly update your information if it changes
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You must be at least 16 years old to use the Service. If you are under 18, you represent that your parent or guardian has reviewed and agreed to these Terms.

4. Subscriptions and Payments

4.1 Pricing and Credits

The Service operates on a credit-based system. Credits are consumed when you process data, run analyses, or generate visualizations. Credit pricing and consumption rates are published on our pricing page and may change with 30 days' notice.

4.2 Subscription Plans

We offer various subscription plans with different credit allocations and features. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

4.3 Refunds

Subscription fees are generally non-refundable. However, we may provide refunds or credits at our discretion. Unused credits expire at the end of each billing period unless your plan includes credit rollover.

4.4 Taxes

Prices do not include taxes. You are responsible for paying all applicable taxes, including VAT, GST, and sales tax based on your location.

5. User Content and Data

5.1 Your Data

You retain all rights to the data you upload to the Service ("User Data"). By uploading User Data, you grant us a limited license to process, analyze, and store it solely to provide the Service.

5.2 Responsibility for Content

You are solely responsible for your User Data. You represent and warrant that:

• You have all necessary rights to upload and process the data
• Your use does not violate any laws or third-party rights
• Your data does not contain malicious code or harmful content

5.3 Data Processing

We process User Data according to our Privacy Policy. We do not use your User Data to train our AI models unless you explicitly opt in to contribute anonymized data for model improvement.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload data containing sensitive personal information without proper authorization
• Attempt to gain unauthorized access to the Service or its systems
• Reverse engineer, decompile, or attempt to extract source code
• Use automated systems to access the Service beyond our APIs
• Resell, sublicense, or redistribute the Service
• Interfere with or disrupt the Service's integrity or performance
• Violate any applicable laws, including export control laws

7. Intellectual Property

7.1 Our Property

The Service, including its software, design, logos, and documentation, is owned by Pairenthesis and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service.

7.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use that feedback without restriction.

8. Third-Party Services

The Service may integrate with third-party services (e.g., Salesforce, HubSpot). Your use of these integrations is subject to the third party's terms of service. We are not responsible for third-party services, and integrations are provided "as is."

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected. The AI-powered features are provided for assistance only—you are responsible for verifying the accuracy of any outputs before relying on them.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAIRENTHESIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pairenthesis and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, your User Data, or your violation of these Terms.

12. Termination

12.1 By You

You may terminate your account at any time through your account settings. Upon termination, you will lose access to the Service and any unused credits.

12.2 By Us

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. We will provide reasonable notice when possible.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. You may request export of your User Data within 30 days of termination. Provisions that by their nature should survive termination will survive.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

13.2 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration under the rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California.

13.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions or class arbitrations.

13.4 Exceptions

Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property infringement or other urgent matters.

14. International Users

14.1 European Union Users

If you are in the EU, nothing in these Terms affects your rights under the GDPR or EU consumer protection laws. You may also bring disputes before your local courts.

14.2 Export Compliance

You may not use the Service if you are located in a country subject to U.S. sanctions or are on any U.S. government restricted parties list.

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pairenthesis.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
• Waiver: Failure to enforce any provision does not waive our right to enforce it later.
• Assignment: You may not assign these Terms without our consent. We may assign them freely.
• Force Majeure: We are not liable for failures due to circumstances beyond our reasonable control.
